Terms of Service

Clear, founder-first terms governing our milestone engagements and software engineering services.

Last Updated: January 2026 · These Terms of Service apply to all software development, consulting, and maintenance agreements entered into with RepCore Studio.

The RepCore Studio Guarantee: We operate under a milestone verification model. You test each deliverable on a live staging environment and release payment only after milestone satisfaction.

1. Engagement & Scope of Work

Every development project begins with an agreed-upon Statement of Work (SOW) defining:

  • Deliverable breakdown (UX prototypes, core features, database schemas, APIs).
  • Estimated sprint timeline and delivery milestones.
  • Fixed investment cost in Indian Rupees (INR) or agreed foreign currency.

2. The "First See Product, Then Pay" Milestone Acceptance Model

Our core pricing model is designed to eliminate client financial risk:

  • Staging Previews: Development is conducted on private cloud staging links where you can interactively click, test, and audit functionality.
  • Review Period: Following milestone deployment, the client has a 5-business-day review window to test features against agreed specifications.
  • Milestone Payment Release: Invoices for each milestone are due only after the client has reviewed and confirmed the working deliverable.

3. Intellectual Property (IP) Ownership

We believe founders should own everything they pay for:

  • 100% Transfer: Upon release of milestone payments, all right, title, and interest in the custom code, user interfaces, documentation, and database schemas automatically transfer to the Client.
  • Direct Repository Access: Work is committed directly to your private GitHub/GitLab organization.
  • Third-Party Open Source: Any standard open-source libraries incorporated (e.g. Next.js, React, Supabase) remain subject to their respective permissive licenses (such as MIT or Apache 2.0).

4. Change Management & Agile Iterations

Product requirements often evolve as founders test early builds with real customers. If additional features or structural changes outside the initial SOW are requested:

  • We provide an immediate impact assessment (timeline and fixed cost differential).
  • You choose whether to swap equivalent backlog tasks within the existing budget or expand the sprint scope.
  • No unexpected invoices are ever issued without prior written agreement.

5. 30-Day Post-Launch Warranty

Every product delivered by RepCore Studio includes a complimentary 30-day post-launch warranty:

  • Any software bugs, functional regressions, or defects conflicting with agreed specifications are remediated immediately at zero additional charge.
  • Does not cover defects resulting from unauthorized third-party modifications or third-party API outages outside our control.

6. Confidentiality & Non-Disclosure

Both parties agree to treat all business concepts, customer databases, technical architectures, and financial data as strictly confidential. This obligation survives termination of the project indefinitely.

7. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under this agreement shall be settled amicably through direct founder consultation, or through arbitration in New Delhi, India.
